美国公司法股东查阅权制度演变初探
Preliminary Study on Evolvement of Shareholder Inspection Right

【摘要】股东查阅权制度，是确保股东表决权和诉权的重要公司法律制度。我国公司法及其司法实践尚没有规定完善的股东查阅权制度。本文对美国公司法股东查阅权制度的演变过程，包括其理论基础、历史渊源（判例法渊源和制定法渊源）、特拉华州
公司法股东查阅制度的发展、判例法股东查阅权和制定法股东查阅权的关系等作了初步探索。藉以此为进一步完善公司股东查阅权的立法和司法提供参考。
Shareholder inspection right is necessary part of corporate law system in order to implement shareholders’ voting rights and litigation rights for the protection of their investment interests. Corporate Law in China and its judiciary have not set up perfect rules on shareholder inspection right. Hereinafter, the article is a preliminary study on evolvement of shareholder inspection right of Corporate Law in US, including economical cause, historical origin of the shareholder inspection（Common Law and Statutes）, development course of inspection right rules of Delaware Corporate Law and the relationship of Common Law Inspection Rights and Statutes Inspection Rights etc., by which the reference for further perfect of lawmaking of Corporate Law and its judiciary in China may be provided.

查阅公司帐簿和记录的能力对于股东表决权的行使或者支持起诉通常来说是必要的。许多时候，只有知晓其他股东的姓名或名称和地址，股东才能展开公司控制力的争夺。作为支持股东派生诉讼的必要前提也要求股东联系其他股东，或者是为了满足起诉条件，或者是作为共同原告以避免提供担保。除了股东名册，股东还可以基于各种理由要求查阅公司记录或者帐簿，例如评价股票的价格或者确认与提起诉讼有关的信息。〔1〕（P622）因此，
公司法赋予股东查阅权是完全有必要的。现代各国公司法无一例外地规定，公司股东享有查阅权和信息获取权，有权查阅公司重要的法律文件，有权要求公司管理者依法向自己报送相关的法律资料〔2〕（P201）。
