其三，是“形骸化”的情况。根据“形骸化”规则来追究有限责任屏障之后的合伙人的个人责任，要把握的标准是：在特殊普通合伙中，只有当合伙人对合伙事务经营及财产的控制存在欺诈及不适用刺破规则就会导致对债权人严重不公的情况，才可适用该规则。
